Areef — Terms of Service

Version 1.0

Effective 14 October 2026

Areef — Terms of Service

Version 1.0 · Effective 14 October 2026

These Terms are a contract between Khaloud Digital Solution Company SPC, a company registered in the Sultanate of Oman ("Areef", "we", "us") and the organisation that subscribes to the Areef platform ("Customer", "you"), together with every person the Customer authorises to use it ("User").

By creating an account, signing in, or using Areef, you accept these Terms and the Privacy Policy, which forms part of them. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.

1. What Areef is

Areef is a tenant-intelligence and business-development platform for ports, free zones and industrial estates. It:

  • builds research briefs on companies, countries, products and individuals from publicly available sources and from material you supply;
  • maps products to HS codes and identifies likely suppliers, buyers and producers from trade-flow data;
  • maintains a record of your tenants, prospects and value chains;
  • generates proposals and exportable documents from that record.

Every brief Areef produces is research assistance generated in part by artificial intelligence. Section 7 governs what that means for you, and it is the most important clause in this document.

2. Definitions

TermMeaning
Customer DataEverything you or your Users put into Areef, or that Areef derives from it: tenant and prospect records, uploaded documents, notes, proposals, saved analyses and the briefs produced for you.
OutputA brief, score, mapping, suggestion, proposal or exported document that Areef generates.
PlatformThe Areef software, database schema, analysis engine, prompts, retrieval logic and interface.
SubjectA company, country, product or individual that a brief is about.
RunOne analysis request that counts against your plan's monthly allowance.

3. Accounts and access

3.1 Invitation only. Areef has no open registration. An account can only be created for an email address that an administrator of your organisation has invited, or that we have designated as a platform administrator. Attempting to create an account by any other means will be refused.

3.2 One person per account. Accounts are personal. You must not share credentials, and you must not allow more than one person to use a single account. Each User must have their own.

3.3 Your administrators. Your administrators decide who is invited, what role each User holds (viewer, analyst, manager or administrator) and what each role may see and do. You are responsible for those decisions and for every action taken under your Users' accounts. We act on the instructions of whoever holds administrator rights in your organisation.

3.4 Leavers. You must revoke access promptly when a User leaves your organisation or changes role. We will act on a written request from an administrator, but we cannot know of a departure unless you tell us.

3.5 Security of credentials. You must keep credentials confidential and tell us without delay, through the contact form on our website, if you believe an account has been compromised.

3.6 Platform administrators. A small number of our personnel hold platform-administrator rights, which allow them to see usage, cost and configuration across all customers and, where necessary to operate or support the service, to enter a customer's workspace. This access is restricted to named individuals, is used only to run, support, secure and bill for the service, and is subject to the confidentiality obligation in Section 10. It is described in the Privacy Policy.

4. Your data stays yours

4.1 Ownership. You own Customer Data. Nothing in these Terms transfers any ownership in it to us.

4.2 The licence you give us. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display and create derived records from Customer Data only to the extent needed to:

  • (a) provide, maintain and support the platform for you;
  • (b) produce the Output you request;
  • (c) keep the platform secure and prevent abuse;
  • (d) meet a legal obligation.

This licence ends when the data is deleted under Section 13.

4.3 What we will not do. We will not sell Customer Data. We will not disclose it to another customer. We will not use one customer's Customer Data to produce Output for another customer. We will not use Customer Data to train artificial-intelligence models.

4.4 Aggregate statistics. We may produce and use statistics about how the platform is used — volumes, run counts, error rates, cost — provided those statistics do not identify you, your Users, your tenants or any individual.

5. What you promise about what you upload

Areef lets you attach company profiles, slide decks and other documents to an analysis request. When you do, you confirm that:

  • (a) you have the right to upload the document and to have us process it for the purpose you have chosen;
  • (b) uploading it does not breach a non-disclosure agreement, a confidentiality undertaking or anyone's intellectual-property rights;
  • (c) you have any consent or other lawful basis required for the personal data it contains;
  • (d) it does not contain special-category personal data (health, religion, political opinion, biometric or similar), payment-card data, or government identity numbers — Areef is not built to hold these, and you must not put them in it.

If you upload something you should not have, tell us and we will delete it.

6. Acceptable use

You and your Users must not:

  • (a) use Areef to build a profile of a private individual for a purpose unconnected with legitimate business development, or to harass, intimidate or discriminate against anyone;
  • (b) use Output as the sole basis for a decision about a person's employment, credit, insurance or access to a service;
  • (c) attempt to defeat the platform's access controls, reach another customer's data, or probe, scan or load-test the platform without our written consent;
  • (d) reverse-engineer, decompile or copy the Platform, or extract its prompts, schema or retrieval logic to build a competing product;
  • (e) resell, sublicense or provide Areef to a third party as a service, or run analyses on behalf of a third party, unless we have agreed that in writing;
  • (f) use automated means to extract data from the platform in bulk, beyond the export features we provide;
  • (g) upload malicious code, or anything unlawful under the laws of the Sultanate of Oman or of your own jurisdiction.

We may suspend an account or a workspace immediately if we reasonably believe this Section is being breached and the breach puts the platform, another customer or any person at risk. We will tell you why, and restore access once the matter is resolved.

7. The nature of the Output — read this

7.1 It is research assistance, not advice. Areef drafts briefs using large language models over material retrieved from the public web, from trade-flow datasets and from documents you supply. Output is a starting point for your own judgement. It is not legal, financial, investment, tax, credit, employment or regulatory advice, and it is not a substitute for due diligence.

7.2 It can be wrong. Language models can state things that are inaccurate, out of date or simply invented. Retrieval can miss the relevant source or return a poor one. Trade-flow data is reported with a lag and is incomplete for some countries and codes. Areef makes no warranty that any Output is accurate, complete or current.

7.3 What we do to keep it honest. Factual claims in a brief are recorded as discrete claims and matched against the sources they came from. A brief that fails that check is marked for review rather than presented as finished. Where a brief distinguishes between what a company has stated about itself and what Areef has inferred, that distinction is deliberate and material — treat inferred items as hypotheses.

7.4 Verify before you act. Before you rely on Output externally — in a proposal, a board paper, a negotiation, a filing, a public statement or any decision with financial or legal consequence — you must verify the underlying facts against the cited sources or another authoritative source. You are responsible for that verification and for any decision you take.

7.5 Individuals. Where Areef produces a brief about a named individual, that brief is assembled from public sources about their professional role. It may be incomplete or mistaken, and it may conflate people with similar names. You must not treat it as a background check, a screening report or a verified record, and you must not use it for any purpose for which a regulated background check is required.

7.6 No warranty of fitness for a particular decision. You choose what to ask Areef and what to do with the answer. We do not know your decision context and we do not warrant that Output is fit for it.

8. Plan limits and fair use

8.1 Allowance. Your plan includes a monthly allowance of Runs. The platform counts a Run when an analysis is saved, and refuses new Runs once the allowance is reached. Re-opening a brief you have already produced does not consume an allowance.

8.2 Cost. Each Run consumes paid capacity from the providers in Section 12. We may change allowances or pricing at renewal under Section 17.

8.3 Fair use. Even within your allowance, use must be consistent with Section 6. Automated or scripted Run generation is not fair use.

9. Fees

Fees, the billing period, the currency and the payment terms are set out in your subscription agreement or order form. Unless agreed otherwise, fees are non-refundable, exclusive of taxes, and payable within 30 days of invoice.

10. Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of these Terms, protect it with at least reasonable care, and disclose it only to personnel and sub-processors who need it and are under equivalent obligations. Customer Data is your confidential information. The Platform, our pricing and our non-public technical design are ours. This obligation survives termination by five years, and indefinitely for anything that is a trade secret.

It does not apply to information that is public through no breach of these Terms, was already lawfully held, is independently developed without reference to the other party's information, or must be disclosed by law — in which case the disclosing party will give notice where it lawfully can.

11. Intellectual property

11.1 Ours. We own the Platform and everything in it other than Customer Data, including the analysis engine, prompts, retrieval logic, schema, scoring models, document templates and interface. These Terms grant you a non-exclusive, non-transferable right to use the Platform during the term, and nothing more.

11.2 Yours. You own Customer Data (Section 4) and, as between you and us, the Output produced for you — subject to the fact that Output may incorporate or describe third-party material drawn from public sources, in which case the rights of the original author are unaffected and you are responsible for using it lawfully.

11.3 Feedback. If you give us feedback or suggestions, we may use them without obligation to you. We will not identify you as the source without your consent.

12. Service providers and third-party sources

We use a limited number of service providers to deliver Areef — for hosting and data storage, for artificial-intelligence and information-retrieval services, and for sending email. Producing Output means sending such a provider the subject of your request, the material gathered for it, and the Customer Data that the request needs.

Each provider is engaged under written terms that require it to act only on our instructions, keep what it receives confidential, protect it with appropriate security and, where it handles personal data, comply with data-protection terms. We remain responsible to you for the service we have engaged each of them to provide. A current list is available to you on request.

We may change providers. If a change materially affects how your data is protected, we will tell you before it takes effect.

Areef also draws on publicly available sources. We are not responsible for the accuracy of information retrieved from them, nor for the availability or content of any third-party website.

13. Term, termination, and what happens to your data

13.1 Term. These Terms run from the date you first accept them until your subscription ends.

13.2 Termination for convenience. Either party may end the subscription at the end of the then-current term by giving 30 days' written notice.

13.3 Termination for cause. Either party may terminate immediately on written notice if the other commits a material breach and fails to cure it within 14 days of being notified, or becomes insolvent.

13.4 On termination. Your Users' access ends. You may export your Customer Data for 30 days after termination, using the platform's export features or by asking us. After that period we will delete Customer Data from live systems within a reasonable period, and from backups as the backup cycle turns, except where we must keep something to meet a legal obligation.

13.5 Deletion on request. You may ask us at any time to delete specific Customer Data, including a specific brief or uploaded document. See the Privacy Policy for how and how fast.

13.6 What survives. Sections 4.1, 7, 10, 11, 14, 15, 16, 18 and 19 survive termination.

14. Warranties and disclaimer

14.1 What we warrant. We warrant that we will provide the platform with reasonable skill and care, that we have the right to grant the rights in these Terms, and that we will maintain the security measures described in the Privacy Policy.

14.2 What we do not warrant. Other than in 14.1, and to the fullest extent the law allows, the platform and all Output are provided "as is". We disclaim all other warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement, and any warranty as to the accuracy, completeness or currency of Output or of third-party data. We do not warrant that the platform will be uninterrupted or error-free.

15. Limitation of liability

15.1 Neither party is liable for indirect, incidental, special or consequential loss, nor for loss of profit, revenue, goodwill, anticipated savings, business opportunity or data, however arising.

15.2 Each party's total aggregate liability under these Terms is limited to the fees paid or payable by you under these Terms in the twelve months before the event giving rise to the claim.

15.3 Those limits do not apply to: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; your obligation to pay fees; a party's breach of Section 10 (Confidentiality); your indemnity under Section 16; or any liability that cannot lawfully be limited.

15.4 No liability for reliance on Output. Subject to 15.3, we are not liable for any loss arising from a decision you or anyone else takes in reliance on Output, where that Output was not verified as Section 7.4 requires.

16. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from: (a) Customer Data or an uploaded document infringing a third party's rights or breaching a confidentiality obligation; (b) your breach of Section 5 or Section 6; (c) a claim by an individual arising from your use of a brief about them in breach of Section 7.5; or (d) your breach of data-protection law in respect of personal data you put into the platform.

We will indemnify you against a third-party claim that your permitted use of the Platform infringes that party's intellectual-property rights, provided you notify us promptly, let us control the defence, and do not admit liability. This does not cover claims arising from Customer Data, from Output, or from your use of the Platform in breach of these Terms.

17. Changes

17.1 To the platform. We develop Areef continuously. We may add, change or remove features. We will not make a change that materially reduces the core functionality you subscribe to during a paid term without telling you first.

17.2 To these Terms. We may update these Terms. For a material change we will give at least 30 days' notice by email to your administrators and in the application, and your Users will be asked to accept the new version at next sign-in. If you do not accept a material change, you may terminate under Section 13.2 before it takes effect. The version and the date of each acceptance are recorded.

18. Governing law and disputes

These Terms are governed by the laws of the Sultanate of Oman, and the parties submit to the exclusive jurisdiction of the courts of Muscat.

19. General

19.1 Entire agreement. These Terms, the Privacy Policy and any order form or written subscription agreement are the whole agreement between us on this subject, and replace any earlier discussion or proposal. Where an executed subscription agreement conflicts with these Terms, that agreement prevails.

19.2 No waiver. Failure to enforce a right is not a waiver of it.

19.3 Severability. If a provision is unenforceable, the rest stands and the provision is read down to the minimum extent needed.

19.4 Assignment. You may not assign these Terms without our consent, except to a successor of your business. We may assign to a successor of ours, on notice to you.

19.5 Subcontracting. We may use the sub-processors in Section 12 and others on the same terms, and remain responsible to you for the service.

19.6 Force majeure. Neither party is liable for a failure caused by an event beyond its reasonable control, provided it tells the other and tries to mitigate.

19.7 Notices. Notices to us are given through the contact form on our website. Notices to you go to your administrators' email addresses in the platform.

19.8 Independent parties. Nothing here creates a partnership, agency or employment relationship.

19.9 Language. These Terms are issued in English.
